Beedee is an introducer and marketplace. It is not a credit provider, financial services provider or credit bureau, gives no advice and makes no funding decisions. Each funder decides on its own and offers credit under its own terms and registrations.

1. About this agreement
1.1 This agreement is between Envy Fincorp (Pty) Ltd t/a Beedee, registration number 2021/756475/07 ("Beedee", "we", "us") and the funder named in the sign-up form ("Funder", "you"). It applies to your use of the Beedee Funding marketplace.
1.2 You accept it at online sign-up by ticking 'I accept' and typing your full name, confirming you are authorised to bind the Funder. This is a valid electronic agreement under the Electronic Communications and Transactions Act 25 of 2002 (ECTA). By ticking 'I accept' you also expressly agree to the success fee in clause 5. We may also accept a signed copy.
1.3 What we do. We introduce funding applicants ("Applicants"), who are all active Beedee subscribers, to Funders. We are not a credit provider, financial services provider or credit bureau, give no advice, and do not recommend Applicants to you. You make every credit decision yourself.
2. Eligibility and vetting
2.1 You must be, and stay:
- registered with the National Credit Regulator (NCR) as a credit provider wherever the NCA applies to your agreements, or able to show why you are exempt or outside the NCA;
- licensed as a financial services provider under FAIS if any product you offer through Beedee needs it;
- a lawfully registered entity in good standing, with no regulator action that stops you lending.
2.2 We may ask for your registration certificates, CIPC documents, details of directors, B-BBEE status, proof of address and your funding criteria, and run reasonable checks. We may decline or remove any Funder. Vetting is for our own purposes and is not an endorsement.
2.3 Tell us within 5 business days if any registration or licence lapses, is suspended or is withdrawn.
3. Your own compliance
3.1 You stay fully responsible for your own compliance, including: the NCA (affordability assessments, reckless lending rules, fee and interest caps, disclosure); FICA (customer due diligence, KYC, reporting); FAIS where it applies; POPIA; and any industry codes.
3.2 Nothing we do (matching, document collection, any checks we run) replaces your own checks.
4. Matching and deals
4.1 You set your criteria (for example funding type, amount range, sector, province, minimum contract value). We show you deals that match and that the Applicant consented to share with you.
4.2 We don't promise any number or quality of deals.
5. Fees
5.1 No subscription. There is no subscription, listing or monthly fee. The only fee is the success fee in this clause. If a deal is not funded, you pay nothing.
5.2 Success fee: 1.5% of each successful funding. For each amount you disburse to an Applicant introduced through Beedee (each disbursement, advance or draw of principal), you owe us 1.5% of the principal amount disbursed, excluding interest and your own fees.
5.3 When it is earned. The fee is earned on each disbursement made within the tail period of 12 months after we first shared that Applicant's application with you ("introduction"). It applies to the first funding and to any later, renewed, increased or related facility to that Applicant (or its related entities) disbursed within the tail period. For revolving facilities, each draw of principal is a disbursement. The fee is payable whether or not the Applicant repays you.
5.4 Your cost, not the Applicant's. The success fee is your own cost of business. You retain or withhold it in our favour out of your own funds under your funding arrangements (for example from your fee income or by internal set-off), and pay it to us. You must not deduct it from the amount advanced to the Applicant, add it to the Applicant's loan, or otherwise charge it to the Applicant (clause 8). The Applicant must receive the full amount you approved, less only your own disclosed charges.
5.5 Payment within 7 days. Pay the fee to us within 7 days of each disbursement, without waiting for an invoice. We will issue an invoice (not a tax invoice) for our records. Set-off against amounts we owe you is allowed only if we agree in writing.
5.6 No VAT. Beedee is not registered for VAT. No VAT is charged. If that changes, we will give 30 days' notice.
5.7 Bank details. Pay only into the Envy Fincorp (Pty) Ltd account we give you in writing, using the Applicant reference shown on your dashboard. We will never change bank details by email alone. Confirm any change at accounts@indawoai.co.za or by phone before paying.
5.8 Late amounts bear interest at the prime rate plus 2% and may lead to suspension (clause 11).
6. Reporting
6.1 Notify us in writing within 5 business days of approving funding, and again within 5 business days of each disbursement or first draw, for an introduced Applicant, stating the Applicant, facility type, amount and date.
6.2 By the 5th business day of each month, send a signed declaration listing all funding to introduced Applicants in the previous month (or a nil return).
6.3 Keep records of introduced Applicants, disbursements and fees paid for 5 years after this agreement ends (or longer if FICA or another law requires). On reasonable notice, at most once a year (more if we find an underpayment), let us or an independent auditor check those records. If an underpayment over 5% is found, you pay the reasonable audit cost.
6.4 Pay each fee within 7 days of disbursement (clause 5.5). If we learn of a disbursement you did not report, the fee is payable at once, with interest from the date it should have been paid.
7. Non-circumvention
7.1 During the tail period (clause 5.3) you must not deal with an introduced Applicant outside Beedee, or route funding through a related party, in order to avoid or reduce our fee. Funding to an introduced Applicant in the tail period counts, however it was arranged.
7.2 This does not apply if you can show the Applicant was already your client, or had already applied to you, before the introduction, and you tell us so in writing within 5 business days of the introduction.
8. Fees to Applicants
8.1 You must not charge, deduct, withhold from the Applicant's funding, or otherwise pass on our success fee or any introduction fee to an Applicant, directly or indirectly (for example through a higher initiation fee or rate). Applicants pay Beedee nothing for funding.
8.2 Where the NCA applies, any fee you charge must be within its fee and cost caps and properly disclosed. You are responsible for this.
9. Confidentiality and data use
9.1 Use limits. Use Applicant information only to assess, offer and provide funding to that Applicant. No marketing (unless the Applicant separately consents to you), no resale, no sharing except with your own advisers, funders and service providers who need it and are bound to confidentiality, or as the law requires.
9.2 Delete if not proceeding. If you decline or don't proceed, delete the application and documents within 30 days, unless the law requires you to keep them (for example FICA records). Confirm deletion on request.
9.3 Each party a responsible party. Beedee and the Funder are each an independent responsible party under POPIA. Beedee shares Applicant information with you on the Applicant's consent; once you receive it, you decide how to process it for your own purposes and are responsible for it. You are not our operator, so no POPIA section 21 operator agreement is needed. Each party complies with POPIA for its own processing.
9.4 Security. Keep Applicant information secure with reasonable technical and organisational measures (POPIA s19). Use your Beedee login only for authorised staff.
9.5 Breaches. Tell us within 72 hours of becoming aware of any unauthorised access to Applicant information received through Beedee, and cooperate with us. Each party notifies the Information Regulator and data subjects as POPIA requires for its own processing.
9.6 Offshore. Do not transfer Applicant information outside South Africa unless POPIA section 72 is met and we have agreed in writing.
9.7 Our platform, data and pricing are our confidential information. These duties survive termination.
10. Applicant information: no warranty
10.1 Applicants give us their information. We do not verify it fully and give no warranty that it is true, complete or current, or about any Applicant's creditworthiness. You must do your own due diligence.
11. Suspension and termination
11.1 We may suspend your access if any success fee is overdue more than 7 days after a written reminder, or if we reasonably suspect a breach, fraud or a lapsed registration.
11.2 Either party may end this agreement on one calendar month's written notice. Either may end it immediately if the other materially breaches and doesn't fix it within 10 business days of notice, or becomes insolvent.
11.3 After termination, success fees for introductions made before termination stay payable for the full tail period, and clauses 6, 7, 9 and 12 survive.
12. Liability
12.1 To the extent the law allows, neither party is liable for indirect or consequential loss or loss of profit.
12.2 Our total liability to you, for all claims together, is limited to the success fees you paid or must pay us in the 12 months before the event giving rise to the claim.
12.3 You indemnify us against claims, fines and losses caused by your breach of law (including the NCA, FICA, FAIS and POPIA) or of clauses 7 to 9.
12.4 Nothing limits liability for fraud, gross negligence or wilful misconduct.
13. General
13.1 South African law applies. The courts in Johannesburg may hear disputes.
13.2 Notices: to us at 102 Churchill Street, Wendywood, 2090, or legal@stahlberglegal.com; billing: accounts@indawoai.co.za; to you at the address in the sign-up form.
13.3 This agreement is the whole agreement about the marketplace. Changes must be in writing. We may change the success fee only on 30 days' written notice, and a change applies only to introductions made after it takes effect. Neither party may cede it without consent. If any clause is invalid, the rest stay in force.
