Beedee is an introducer and marketplace. It is not a credit provider, financial services provider or credit bureau, gives no advice and makes no funding decisions. Each funder decides on its own and offers credit under its own terms and registrations.

1. About these terms
1.1 These terms apply when you apply for funding through the Beedee Funding marketplace on beedee.co.za. Beedee is owned and run by Envy Fincorp (Pty) Ltd t/a Beedee, registration number 2021/756475/07 ("Beedee", "we", "us"). "You" means the business that applies, and the person who submits the application for it.
1.2 You accept these terms by ticking the box before you submit an application. This is a valid electronic agreement under the Electronic Communications and Transactions Act 25 of 2002 (ECTA).
1.3 These terms add to our Terms of Service (document 02) and your Subscription Agreement (document 04). Our Privacy Notice (published on beedee.co.za) explains how we handle personal information generally. If these terms conflict with those documents on funding, these terms apply.
2. What Beedee does, and doesn't do
2.1 We introduce. Beedee is a marketplace. We let you upload a funding application and share it, with your consent, with vetted credit providers ("Funders") whose criteria match your deal.
2.2 We don't lend. Beedee is not a credit provider. We do not grant credit, approve or decline funding, set interest or fees, or hold or pay out money.
2.3 We don't advise. Beedee is not a financial services provider and gives no financial, credit, legal or tax advice. Nothing on the platform is a recommendation of any Funder or funding product. Get your own advice before you sign anything.
2.4 Funders decide. Each Funder makes its own decision, on its own criteria, and contracts with you directly. The Funder's own terms govern any funding. We are not a party to that agreement.
2.5 No guarantee. We do not guarantee that you will get any offer, any amount, any rate, or any funding at all, or how fast a Funder will respond.
3. Who may apply
3.1 You may apply if:
- you are an active Beedee subscriber (a Beedee client with a current, paid-up Beedee subscription under your Subscription Agreement (document 04)). Only active subscribers may apply; if your subscription ends or is suspended, we may pause or close your open applications;
- you are a business registered in South Africa (or a sole proprietor);
- you have won a tender, contract or purchase order, or have an invoice, project or equipment need linked to one;
- the person applying is 18 or older and authorised to apply and to accept these terms for the business; and
- you are not under business rescue, liquidation or sequestration, unless you tell us so in the application.
3.2 Funding types offered may include working capital, purchase order finance, project finance, equipment finance, goods (trade) finance and invoice finance. Not every Funder offers every type.
4. Your application and documents
4.1 We may ask you to upload, for example: CIPC company documents, directors' or members' ID copies, bank statements, financial statements or management accounts, the award letter, contract or purchase order, a tax compliance status (clearance) PIN or letter, and a B-BBEE certificate or affidavit.
4.2 Your promises (warranties). Each time you submit or update an application, you promise that:
- everything you give us is true, complete, current and not misleading;
- documents are genuine and unaltered;
- you are authorised to apply and to share the business's information; and
- you have told each director, member, shareholder, surety or other person whose personal information is in the application about this sharing, and you have their consent to share it with us and with matching Funders, and to credit checks on them where needed.
4.3 Don't misrepresent. You must not inflate amounts, fake or alter documents, hide material facts (for example existing debt, judgments, disputes or a cancelled award), or apply in another business's name.
4.4 Fraud. If we reasonably suspect fraud or misrepresentation we may suspend or close your application and account, tell the Funders who received it, and report it to the South African Police Service, the South African Fraud Prevention Service or other authorities where the law allows or requires. You must tell us at once if anything in your application changes or turns out to be wrong.
5. Sharing with Funders (your consent)
5.1 Your choice. When you submit, you choose whether to share your application with (a) all Funders matching your deal, or (b) only the matching Funders you select. We show you which Funders that means before you confirm.
5.2 Express consent. By confirming, you expressly consent to us sharing your application and uploaded documents (including directors' personal information) with the Funders you chose, so they can assess and, if they decide to, offer you funding.
5.3 Each Funder that receives your application becomes an independent responsible party under the Protection of Personal Information Act 4 of 2013 (POPIA) for that information. It must use it only to assess and fund your application, and under its own privacy notice and terms. We require Funders to agree to this in their agreement with us.
5.4 We do not sell your application or use it to market other businesses' products to you.
6. Credit and verification checks
6.1 By Funders. You consent, for the business and (with their consent, per clause 4.2) for its directors, members and sureties, to Funders who receive your application doing credit bureau, fraud, identity, CIPC and bank verification checks, as allowed by the National Credit Act 34 of 2005 (NCA) and POPIA.
6.2 By Beedee. If we vet applications ourselves, you consent to us doing identity, CIPC and [credit bureau] checks on the business and its directors only to confirm the application is genuine and complete. We will not give you a credit rating or score, and we don't make funding decisions.
6.3 Credit checks may appear on the bureau record as an enquiry.
7. Your personal information (POPIA)
7.1 What. Applications contain personal information about directors and other people: names, ID numbers and ID copies, contact details, addresses, bank statements and financial information. We treat ID numbers, ID copies and bank statements as sensitive: access is limited to staff who need it, and to the Funders you chose.
7.2 Special personal information. A B-BBEE certificate or affidavit may contain race-related information, which is special personal information under POPIA. We process it only with your consent and only for B-BBEE verification and funding purposes (POPIA allows this with consent, and for race information used to comply with B-BBEE and similar laws). You can leave it out, but some Funders may need it. Criminal record or credit information is not treated as "special" here, but we handle it with the same care.
7.3 Why. We use application information to run the marketplace: to check it, match it, share it as you chose, prevent fraud, and keep records the law requires. We do not use it for marketing without separate consent.
7.4 Security. We store documents encrypted, over HTTPS only, with access controls and access logs. If we reasonably believe your information has been accessed without authority, we will tell you and the Information Regulator as POPIA requires.
7.5 How long. We delete your application and documents 12 months after the application closes (withdrawn, declined by all Funders, or expired). If you were funded through Beedee, we keep a record of the introduction, the Funder and the funded amount (not your full application documents) for 5 years after our relationship with you ends (or after the last fee on that funding is settled, if later), for billing, tax, audit and legal-claim purposes, in line with POPIA section 14 and record-keeping laws such as the Tax Administration Act and, where relevant, FICA. We may keep information longer only where the law requires it or for a dispute. Funders keep what they received under their own retention rules.
7.6 Your rights. You (and each director) may ask to see, correct or delete personal information, or object to processing, by emailing privacy@beedee.co.za. Our Information Officer is Mr D Mhlaba. You may also complain to the Information Regulator. See the Privacy Notice ([TO CONFIRM: link]) for more.
8. Withdrawing your application or consent
8.1 You may withdraw your application, or your consent to sharing, at any time in your dashboard or by emailing us.
8.2 We will stop sharing it from then on and ask the Funders who received it to stop using it and delete it, unless they are already in a funding process with you or must keep it by law. Withdrawal does not undo sharing that already happened.
9. Fees
9.1 Applying for funding is free. You pay Beedee nothing for funding: no application, introduction, success or other funding fee. Your normal Beedee subscription (document 04) is what makes you eligible, and it is not charged per application or per deal.
9.2 Beedee earns a fee only from the Funder: 1.5% of each amount the Funder actually disburses to you. It is the Funder's own cost. Funders agree not to deduct it from your loan, add it to your loan or charge it to you in any other way. If a Funder tries to, please tell us at privacy@beedee.co.za or through your dashboard.
9.3 Funders' own fees, interest and charges are set by them and are shown in their offer. Ask the Funder about every cost before you accept.
9.4 If we ever introduce applicant fees for funding, we will tell you in advance, and they will apply only to applications made after that. No VAT is charged.
10. Liability
10.1 We take reasonable care in running the marketplace. But because Funders make their own decisions, to the extent the law allows we are not liable for: any Funder's decision, offer, delay, terms or conduct; any loss from funding not being granted; or indirect or consequential loss or loss of profit.
10.2 Our total liability to you under these terms, for all claims together, is limited to the subscription fees you paid or must pay us under your Subscription Agreement in the 12 months before the event giving rise to the claim. (You pay nothing for funding itself, so the cap is linked to your subscription.)
10.3 You are responsible for loss caused by false, incomplete or misleading information you give us, or by sharing someone's information without their consent.
10.4 Nothing in these terms limits liability that cannot lawfully be limited, including for our gross negligence or wilful misconduct, or any rights you have under the Consumer Protection Act 68 of 2008 (CPA) if it applies to you.cpa
11. Changes, law and general
11.1 We may change these terms with at least 14 days' notice by email or on the platform. Changes don't affect an application already shared unless you agree.
11.2 South African law applies. The courts in Johannesburg may hear disputes.
11.3 If any clause is invalid, the rest stay in force.
